WinVideo WvCGI/VisualRent license License for software WinVideo WvCGI (internet reservation module) and VisualRent IMPORTANT - READ CAREFULLY: this license to users of the software WinVideo WvCGI/VisualRent ("LICENSE") is an agreement that defines the use of software including computer software and related printed materials ("SOFTWARE"). By downloading, installing, copying or using the SOFTWARE in any other way, you accept the terms specified in this LICENSE. Should you not consent to the terms of this EULA, you are not allowed to use the SOFTWARE. The use of the product WinVideo WvCGI/VisualRent requires three elements: the SOFTWARE, a browser and a PC. The system core SOFTWARE is installed on the customer server (a single PC) and the SOFTWARE extensions are located on MIDITEL servers. Both core and extensions are unseparable. In addition, the software for operation requires a mandatory service fee on the host server on MIDITEL or MIDITEL designed supplier. In the case of non-payment of hosting services, MIDITEL, the day after the deadline will provide database informations and data and any material belonging to customer copyright and the software will no longer be accessible and usable as it will be suspended. The customer has the property of the data stored in the members and products database but not the system software. The SOFTWARE is protected by copyright laws and international treaties on copyright as well as other intellectual property laws and treaties. The SOFTWARE is not sold but only licensed for use in close conjunction with this document. This Agreement establishes the terms and conditions, solely for the Software license. 1. DEFINITIONS 1.1 User. User is the entity or individual using the SOFTWARE. 2. GRANT OF LICENSE 2.1 Rights and Limitations of grant. With this agreement, Miditel grants you the following rights, non-exclusive and non transferable right to use the SOFTWARE, with the following limits: 2.1.1 Rights. You may not copy the SOFTWARE in any other way. This LICENSE of SOFTWARE may be shared or used simultaneously to multiple computers (defined as desktop locations) as long as inherent your account (administrator access). 2.1.2 Limits. You cannot reverse enginering the software. You cannot change copyright signatures and internal links. You may not decompile or disassemble the SOFTWARE, groped them in any way to get the source code. Prohibition of separation: The SOFTWARE is licensed as a single product: its components can not be separated for use on multiple computers or used separately in another way elsewhere.Prohibition of rent. You may not rent or lease the SOFTWARE to third parties. 2.1.3 COPYRIGHT The SOFTWARE is owned by WinVideo Team (MIDITEL) and is protected by copyright laws, the provisions international treaties and all other applicable national laws. MIDITEL owns the title, copyright and other intellectual property rights related to the SOFTWARE. The SOFTWARE is licensed, not sold. Therefore, you must treat the SOFTWARE like any other copyrighted material (Eg. Books or music disk). Handling, alteration, conversion, decoding, decompile, disassemble or otherwise of products or creations based software program or parts of it are illegal. Other graphics such as logos, are the property of their respective owners. 3. DISCONTINUED The license will automatically end if you were to contravene any of the terms of this. In this case, the user will no longer have access to the SOFTWARE and all its parts. 4. COPYRIGHT All rights and copyrights, and to the SOFTWARE (including but not limited to images, photographs, animation, video, audio, music, text and other information embedded into the SOFTWARE), the accompanying printed materials and any copies of the SOFTWARE are owned by Miditel. The SOFTWARE is protected by copyright laws and international conventions. Based on these, you must use the SOFTWARE like any other material covered by copyright unless otherwise permitted by this License. 5. APPLICABLE LAW This Agreement shall be considered and completed as stipulated by the law of the Italian State. 6. NON-RECOGNITION OF WARRANTIES AND LIMITATIONS OF LIABILITY 6.1 NON-RECOGNITION OF WARRANTIES. To the maximum extent permitted by applicable law, THE SOFTWARE IS PROVIDED "AS IS" AND MIDITEL AND ITS SUPPLIERS DISCLAIM NO WARRANTY, EXPRESS OR IMPLIED, INCLUDING, BUT NOT limited to these, WARRANTIES CONCERNING Sold 'and the adequacy FOR A PARTICULAR PURPOSE. 6.2 RESPONSIBILITY 'FOR CONSEQUENTIAL DAMAGES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT MIDITEL OR THEIR SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, ARISING FROM, business interruption ', LOSS OF INFORMATION CONCERNING THE TAKING 'and any other pecuniary loss), ARISING FROM OR Inability 'USING THIS SOFTWARE, EVEN IF MIDITEL had been informed of POSSIBILITY 'OF such an occurrence. 7. MISCELLANEOUS This Agreement is the agreement final, complete and exclusive between the parties in relation to matters relative supersedes all previous agreements or conventions and contemporary, relating to the subject matter, be they verbal or written. You agree that no ship, transfer or export the SOFTWARE in any country and will not use the SOFTWARE in any manner prohibited by the Italian government or any law, regulation or restriction on exports. This LICENSE may be modified only in writing, signed by an agent authorized by Miditel. Services Use of the services requires a certain level of knowledge in the use of Internet languages, protocols, and software. Although Miditel is willing to provide technical support, you agree that it is not the obligation of Miditel to provide this knowledge or customer support outside the defined WinVideo/VisualRent support. Miditel makes no warranties or representation of any kind, whether expressed or implied for the services it is providing. Miditel also disclaims any warranty of merchantability or fitness for particular purposes and will not be responsible for any damages that may be suffered by the Client, including loss of data resulting from delays, non-deliveries or service interruptions by any cause or errors or omissions of the Client. Use of any information obtained by way of Miditel is at the Client's own risk, and Miditel specifically denies any responsibility for the accuracy or quality of information obtained through its services. Miditel expressly limits its damages to the Client for any non-accessibility time or other down time to the pro rata monthly charge during the system unavailability. Miditel specifically denies any responsibilites for any damages arising as a consequence of such unavailability. Financial Arrangements You agree to a 12 (twelve) months contract, beginning upon the initial Miditel (WinVideo) transaction. 6 month(s) payments will be prepaid before expiration. This agreement will automatically renew for successive 6 month(s) periods unless cancelled in writing prior to the renewal date. If you selected the bank transfer method, you must mail Miditel the due amount in bank transfer money order. If you selected to pay by credit card, you will receive a receipt by e-mail prior to billing. Renewal of Services by you indicates agreement to contract revisions. If you wish to discontinue the Service prior to the end of the billing cycle, you can request a credit at any time for the unused pre-paid service period. Taxes Miditel shall not be liable for any taxes or other fees to be paid in accordance with or related to purchases made from Client. The Client agrees to take full responsibility for all taxes and fees of any nature associated with such products sold. Entire Agreement and Severability This instrument constitutes the entire agreement between the parties, and represents the complete and entire understanding of the parties with respect to the subject matter of this agreement. This instrument supersedes any other agreement or understanding between the parties, whether written or oral. In the event that any term or provision of this instrument is held by a court of competent jurisdiction to be unenforceable, then the remaining provisions of this instrument and the agreement which it evidences, shall remain in full force and effect. Limited liability Client expressly agrees that use of Miditel servers is at Client's sole risk. Neither Miditel, its employees, affiliates, agents, third party information providers, merchants licensers or the like, warrant that the Miditel service will not be interrupted or error free; nor do they make any warranty as to the results that may be obtained from the use of the server service or as to the accuracy, reliability or content of any information service or merchandise contained in or provided through the Service, unless otherwise expressly stated in this agreement. UNDER NO CIRCUMSTANCES, SHALL MIDITEL, ITS OFFICES, AGENTS OR ANY ONE ELSE INVOLVED IN CREATING, PRODUCING OR DISTRIBUTING MIDITEL SERVER SERVICE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF OR INABILITY TO USE THE MIDITEL SERVER SERVICE; OR THAT RESULTS FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES, ERRORS, DEFECTS, DELAYS IN OPERATION, OR TRANSMISSION OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT LIMITED TO ACTS OF GOD OR COMMUNICATION FAILURE.
